Terms of Service
These Terms of Service govern access to the Northline Emergency Training & Consulting website and the purchase, registration, delivery, and use of Northline courses, consulting services, training materials, and related services. Please read these Terms carefully before using our website, registering for a course, submitting a binding order, or engaging Northline to provide services.
1. About Northline
Northline Emergency Training & Consulting (“Northline,” “we,” “us,” or “our”), operated by 2841009 Alberta Inc., is an Alberta-based emergency-services training and consulting business operating from Canmore, Alberta, Canada.
Northline provides services that may include:
- Fire-service training and professional development
- Emergency medical and resuscitation training
- First aid training
- NFPA-aligned training and professional development
- Department and organizational training
- Private and on-site courses
- Consulting
- Online or blended learning components
- Coordination with independent course providers, evaluators, proctors, certification bodies, host departments, and regulatory programs
The website located at www.northlineemergency.com is referred to in these Terms as the “Website.”
2. Acceptance of These Terms
These Terms apply when you:
- Access or use the Website
- Submit an inquiry or request for availability
- Request or accept a quote or proposal
- Register yourself or another person for a course
- Purchase a course or service
- Engage Northline to provide training, consulting, coordination, or related services
- Access or use Northline course materials
- Communicate with Northline in relation to a service or transaction
Your use of the Website signifies acceptance of the provisions governing Website use.
A paid registration or service contract becomes binding only when you expressly accept the applicable terms at checkout or in writing, Northline confirms the registration or service in writing, any required payment or deposit has been received, and any required agreement, prerequisite, or documentation has been completed.
If you do not agree with these Terms, do not complete a paid registration or use protected Northline materials.
Nothing in these Terms limits a right, benefit, protection, or remedy that cannot legally be waived under Alberta's Consumer Protection Act or other applicable law.
3. Other Agreements and Order of Precedence
A course or service may also be governed by a customized service agreement, an accepted proposal or quotation, a purchase order accepted by Northline, a registration agreement, course-provider requirements, certification-program requirements, host-department requirements, or applicable legislation, standards, regulations, or protocols.
Where documents conflict, they apply in the following order:
- Mandatory applicable legislation
- A signed customized service agreement or contract
- An accepted written proposal, quotation, registration agreement, or purchase order
- Applicable course-provider, certification-program, regulator, or host-department requirements
- These Terms
- General Website content
A higher-ranking document governs only to the extent of an actual conflict.
4. Eligibility and Authority
To enter into a binding transaction with Northline, you must:
- Be legally capable of entering into a contract
- Provide accurate, current, and complete information
- Have authority to register another person
- Have authority to act for any employer, fire department, municipality, clinic, company, or organization you claim to represent
- Obtain any authorization required before supplying another person's information
If you register another person, you confirm that you are authorized to complete the registration, the participant has been informed of the registration, the information provided is accurate, and any required consent has been obtained.
Participants under the age of majority may require authorization from a parent, legal guardian, employer, or sponsoring organization.
Northline may decline or suspend a registration where required authority, eligibility, or consent has not been established.
5. Website Information
Northline makes reasonable efforts to keep Website information accurate and current. However:
- Course dates and availability may change
- Instructor assignments may change
- Locations may change
- Standards and provider requirements may be updated
- Course prerequisites may change
- Website information may contain an administrative or typographical error
- Submission of a form does not guarantee acceptance or availability
Northline may correct genuine errors. Where an error is identified after a binding consumer contract has been formed, Northline will act in accordance with the contract and applicable consumer-protection requirements.
Website content is general information and does not itself constitute a confirmed booking, certification decision, professional opinion, or contractual promise unless expressly incorporated into a written agreement.
6. Quotes and Proposals
Quotes and proposals are valid only for the period stated in the applicable document.
Pricing may depend on course scope, participant numbers, location, delivery dates, instructor requirements, equipment, facilities, travel, accommodation, course-provider charges, evaluator or proctor charges, certification fees, taxes, or other third-party expenses.
Changes requested after acceptance may require a revised quote, additional fees, a new delivery date, additional instructors, or a change in scope.
Northline is not bound by an oral change that has not been confirmed in writing by an authorized Northline representative.
7. Registration
Registration may require participant name and contact information, employer or sponsoring-organization information, prerequisite evidence, previous certification or qualification information, course-provider documentation, accommodation information, emergency or safety information, payment, acknowledgements or waivers, proof of identity, and other information reasonably required to administer the course.
A registration is not confirmed until Northline issues written confirmation.
Northline may place a registration on hold or decline participation if required information, payment, prerequisites, or documents are missing.
8. Participant Responsibilities
Participants are responsible for:
- Reviewing the course description
- Confirming that they meet the stated prerequisites
- Completing required pre-course or online learning
- Attending on time and attending all required components
- Bringing required identification, equipment, clothing, or personal protective equipment
- Following instructor and facility directions
- Informing Northline of relevant accommodation or safety needs
- Maintaining current contact information
- Conducting themselves professionally and completing their own work honestly
Failure to meet a requirement may prevent participation, completion, examination, evaluation, or certification.
Northline cannot certify attendance, participation, or performance that did not occur.
9. Course Delivery
Northline may provide services through in-person instruction, online instruction, blended delivery, practical training, scenario-based training, consulting, facilitated workshops, independent study components, or third-party course platforms.
Northline may make reasonable adjustments to the instructor assigned, the order of course content, the classroom or training location, the delivery format, equipment used, group assignments, break schedules, scenarios, or administrative processes.
A material change that substantially alters a purchased service will be addressed reasonably and in accordance with applicable law.
10. Instruction, Assessment, and Certification
Northline may provide instruction, coaching, practice, formative assessment, performance feedback, and preparation for an external examination or evaluation.
Formative assessment and feedback from Northline do not constitute an official certification result unless Northline has been expressly authorized to issue that result under the applicable program.
Final certification, examination, or evaluation decisions may be made by an independent evaluator, examination proctor, course provider, certification body, government program, regulator, host department, employer, or another authorized third party. Northline cannot alter, override, or guarantee a third party's decision.
Third parties may impose their own eligibility rules, documentation requirements, fees, examination rules, accommodation processes, retention requirements, appeals, policies, and procedures.
11. No Guarantee of Results
Participation does not guarantee course completion, examination success, certification, credential renewal, employment, promotion, appointment, professional licensing, regulatory acceptance, course equivalency, transfer credit, operational authorization, a specific emergency or incident outcome, or a specific business or organizational outcome from consulting.
Outcomes may depend on participant preparation, attendance, performance, conduct, third-party decisions, operational conditions, employer requirements, and circumstances outside Northline's control.
Northline will provide contracted services with reasonable care and skill but does not guarantee a result that depends on another person or organization.
12. Health, Safety, and Fitness to Participate
Participants must follow safety instructions and site-specific procedures, use required personal protective equipment, report hazards, injuries or illness promptly, report relevant limitations affecting safe participation, participate only when reasonably fit to do so, stop when directed, and avoid conduct that creates an unreasonable risk.
Participants must not participate while impaired by alcohol, cannabis, illegal drugs, medication effects, severe fatigue, illness, injury, or any other condition creating an unreasonable safety risk.
Northline may pause, modify, or stop any activity where reasonably necessary for safety, and may remove a participant who creates an unreasonable risk, refuses to follow safety instructions, is impaired, engages in serious misconduct, threatens another person, or prevents the safe continuation of training.
Refund or transfer eligibility will depend on the circumstances, these Terms, any applicable agreement, and applicable law.
13. Professional Conduct
Prohibited conduct includes harassment, bullying, discrimination, threats, violence, reckless conduct, deliberate disruption, cheating, falsification of records, misrepresentation of identity or qualifications, interference with an evaluation, unauthorized recording, unauthorized copying or sharing of materials, deliberate or negligent damage, unlawful conduct, and conduct that compromises safety or course integrity.
Northline may report serious conduct concerns to an employer, sponsoring organization, course provider, certification body, regulator, law-enforcement agency, or other appropriate authority where reasonably necessary and legally permitted.
14. Accommodation and Accessibility
Northline will consider accommodation requests in accordance with applicable human-rights requirements. Requests should be made as early as reasonably possible.
A participant may be asked to provide sufficient information to identify the functional limitation, the barrier involved, and the accommodation requested. Participants should not provide complete medical files or unrelated medical information unless specifically requested for an identified purpose.
External examinations and certification evaluations may require a separate accommodation application through the applicable program. Northline cannot independently alter an external examination, evaluation, or certification process outside the rules established by the responsible organization.
15. Pricing and Taxes
Unless otherwise stated: prices are in Canadian dollars, applicable GST is added where required, prices apply only to the identified course, service, date, location, and participant, and travel, accommodation, meals, parking, equipment, third-party charges, or certification fees are not included unless expressly stated.
The total amount payable and all material known charges will be disclosed before a consumer completes an online purchase.
16. Payment Terms
Public course registrations generally require full payment at the time of registration unless Northline agrees otherwise in writing.
For private, department, organizational, or custom training booked from a Northline quote: a deposit of 50% of the total, including GST, is due when the quote is approved and is applied toward the total; the remaining balance is due 14 calendar days before the first training date; and a booking made fewer than 14 calendar days before the first training date is paid in full when the quote is approved. Training dates are held once the deposit or purchase order is received and Northline confirms instructor availability.
Fire departments, municipalities, and public sector organizations may instead confirm a booking with a purchase order or signed written confirmation: no deposit is taken, the booking is invoiced when the training is delivered, and payment is due within 30 calendar days of the invoice date. The cancellation schedule in section 22 still applies, and any amount it keeps is invoiced.
For private, department, organizational, and custom training, what happens to a deposit or other amount paid when a booking is cancelled or moved is set out in section 22. For other purchases, refundability is determined by the applicable cancellation policy, actual non-recoverable expenses incurred, the accepted proposal or agreement, and applicable law.
Northline may suspend confirmation or delivery where payment is overdue. Participants and clients remain responsible for approved charges, applicable taxes, contracted third-party expenses, and amounts lawfully owing after a cancellation.
Northline will not impose an undisclosed interest rate, administrative fee, or penalty.
17. Payment Processing
Payments may be processed through Wix, a financial institution, or another payment provider. Northline generally receives transaction confirmation and limited payment information rather than a complete payment-card number. Payment providers may impose separate terms and security processes.
If a payment is declined, reversed, or charged back without a valid legal basis, Northline may suspend a registration, place services on hold, request another payment method, or recover an amount lawfully owing. A chargeback does not itself cancel a valid contractual payment obligation.
18. Public Course Cancellations by the Participant
The following policy applies to an individual seat in a publicly scheduled Northline course unless a different policy was clearly disclosed before purchase.
- 14 or more calendar days before the course: refund of amounts paid, less any disclosed and already-incurred non-recoverable third-party fee
- 7 to 13 calendar days before: choice of a 50% refund of the Northline course fee, or a 100% course credit (less any disclosed non-recoverable third-party fee)
- Fewer than 7 calendar days before: no cash refund normally provided; Northline may approve a transfer or course credit where circumstances and availability permit; non-recoverable third-party fees remain the participant's responsibility where legally permitted and disclosed
A course credit may be applied to an available Northline course, must normally be used within 12 months, is subject to prerequisites and availability, is not redeemable for cash, and will remain valid longer where required by law.
All statutory cancellation and refund rights continue to apply.
19. Substitutions and Transfers
A participant may request to transfer their registration to another eligible person. A substitution must be requested before the course begins, confirmed by Northline in writing, meet all prerequisites, comply with course-provider and certification-program rules, and include all required registration information.
Northline will normally accept an eligible substitution received at least 48 hours before a course. A later substitution may be accepted where administratively possible. Third-party fees may apply if a registration has already been submitted to another provider. A registration is not transferred until Northline confirms it in writing.
20. No-Shows, Late Arrival, and Incomplete Attendance
A participant is considered a no-show if they do not attend and do not cancel before the course begins. No-shows are not eligible for a refund or course credit, except where required by law or approved by Northline due to exceptional circumstances.
Late arrival or incomplete attendance may prevent completion where required instructional time is missed, a mandatory or safety-briefing component is missed, a provider or certification rule prohibits continued participation, or the learning objectives can no longer reasonably be completed.
A participant denied completion because of late arrival or incomplete attendance is not automatically entitled to a refund. Northline cannot issue attendance or completion documentation for training that was not completed.
21. Digital and Pre-Course Materials
Some registrations may include online modules, digital course access, downloadable materials, provider access codes, textbooks, examination fees, or certification fees.
Once digital materials, provider codes, or third-party services have been accessed or issued, the associated cost may be non-refundable where this was disclosed before purchase, Northline cannot recover the fee, and non-refundability is permitted by law. Northline will not characterize a fee as non-refundable merely to avoid a statutory cancellation right.
22. Private, Department, and Organizational Cancellations
This section applies to private, department, organizational, and custom training booked from a Northline quote, unless the accepted quote states a different schedule. A request to cancel, move, or change a booking must be made in writing. Notice is counted in calendar days before the first training date.
- 30 or more days before: the deposit is refunded, less any amount already spent that Northline cannot recover, such as non-refundable travel or online course access already issued. Alternatively, the booking may be moved to a new date at no additional cost.
- 14 to 29 days before: no refund. The booking may be moved once, at no additional cost, to a new date within 120 days of the original first training date, and amounts paid are applied to the new date. If the booking is not moved to a date within that period, the deposit is non-refundable.
- Fewer than 14 days before, or where participants do not attend: no refund of amounts paid. Northline may, at its discretion, offer a new date where the instructor time can be reused.
At any time before training, a participant may be replaced by another eligible person at no additional cost. The number of participants may be reduced at no additional cost until 14 days before the first training date; after that, the price does not change.
If a wildfire, evacuation order, severe weather, or road closure prevents the training from proceeding safely at the booked time, the booking may be moved to a new date at no additional cost, whether the cause affects Northline or the client.
Where Northline cancels, section 23 applies. Nothing in this section limits a right available under Alberta's Consumer Protection Act or any other applicable law.
23. Cancellation or Rescheduling by Northline
Northline may reasonably cancel, postpone, relocate, reschedule, combine, replace an instructor, or change delivery format due to instructor illness or emergency, insufficient enrollment, facility unavailability, severe weather, wildfire, flooding, unsafe travel, road closures, equipment or technology failure, public-health conditions, government restrictions, safety concerns, or circumstances beyond reasonable control.
Where Northline cancels a paid service and does not provide a reasonable alternative accepted by the customer, Northline will refund amounts paid for the cancelled Northline service.
Northline is not responsible for independently arranged travel, accommodation, meals, lost wages, or similar expenses unless Northline expressly agreed to cover them, or responsibility cannot legally be excluded. Northline recommends avoiding non-refundable travel arrangements until course confirmation is received.
24. Internet Sales and Consumer Rights
Where applicable, before completing a qualifying online consumer purchase, Northline will provide clear information about Northline's business identity and contact information, the course or service, the total price, taxes, additional charges, payment terms, delivery or course timing, prerequisites, material restrictions, and cancellation, refund, transfer, and rescheduling terms.
Northline will provide a confirmation or copy of the online agreement in a form the purchaser can retain.
Nothing in these Terms limits cancellation, refund, disclosure, or other rights available under Alberta's Consumer Protection Act or the Internet Sales Contract Regulation. A consumer cannot waive rights that legislation makes non-waivable. If a provision of these Terms conflicts with a mandatory consumer right, the mandatory right prevails.
25. Course Changes and Recognition
Standards, protocols, legislation, provider requirements, and certification processes may change. Northline may update course content to reflect current requirements, safety information, changes in legislation, provider updates, standard revisions, program changes, or corrected information.
Recognition, equivalency, or acceptance of a course is determined by the relevant employer, certification body, regulator, educational institution, government program, or authority having jurisdiction. Northline does not guarantee that another organization will recognize a course for a particular purpose. Participants and organizations should confirm recognition before purchasing where recognition is material to their decision.
26. Equipment, Facilities, and Personal Property
Participants must take reasonable care of Northline equipment, host-facility equipment, training props, course materials, facilities, and other participants' property. A participant may be responsible for deliberate or negligent damage they cause, to the extent permitted by law.
Participants are responsible for their own personal property, vehicles, clothing, personal protective equipment, travel, accommodation, meals, and parking. Northline is not responsible for loss, theft, or damage to personal property except where caused by Northline's negligence or where liability cannot legally be excluded.
27. Intellectual Property
Northline retains its rights in original Northline materials, including course design, lesson plans, instructor scripts, slides, handouts, guides, templates, graphics, logos, branding, scenarios, case studies, assessments, practice materials, videos, website content, and original written materials.
Third-party standards, textbooks, provider materials, trademarks, certification materials, and examination content remain the property of their respective rights holders. Northline does not claim ownership of third-party content.
28. Limited Licence to Course Materials
Subject to payment and compliance with these Terms, an authorized participant receives a limited, personal, non-exclusive, non-transferable licence to use supplied Northline materials for personal study, course participation, and reasonable internal workplace reference.
Unless expressly authorized in writing, participants and customers must not reproduce, redistribute, sell, or license materials; upload materials publicly; share protected files; post materials on social media; record course content; publish instructor scripts; remove ownership notices; use Northline branding; create a competing course from Northline materials; reproduce confidential assessments; or supply proprietary Northline materials to public artificial-intelligence training systems, public content-generation databases, or public model-training repositories.
This restriction does not prevent lawful use of a person's own notes or rights that cannot legally be restricted.
29. Recording, Photography, and Media
Participants may not record audio, video, screens, demonstrations, assessments, examination content, other participants, or instructors without prior permission from Northline and any other affected rights holder.
Northline may photograph or record an activity for course delivery, internal quality assurance, safety documentation, training development, or marketing. Northline will distinguish internal operational use from public promotional use.
Attendance alone does not authorize Northline to publicly use an identifiable participant's image, voice, testimonial, or likeness for marketing. Appropriate notice and consent will be obtained where required.
30. Website Acceptable Use
You must not use the Website to gain unauthorized access; probe or test security without permission; introduce malware; interfere with Website operation; scrape or extract protected content through automated means; submit false or fraudulent information; impersonate another person; violate intellectual-property or privacy rights; commit an unlawful act; obtain restricted examination or course materials; or abuse Website forms or communication channels.
Northline may restrict access where reasonably necessary to protect systems, users, personal information, course integrity, legal rights, or business operations.
31. Third-Party Services
Northline may link to or use services provided by Wix, Google, payment processors, scheduling services, video-conferencing platforms, learning platforms, course providers, certification bodies, government programs, social-media platforms, or other service providers.
Third-party services have their own terms, privacy policies, fees, availability, security practices, and responsibilities. Northline is not responsible for a third party's independent content, decision, outage, or conduct outside Northline's reasonable control, subject to applicable law.
32. Privacy
Northline's collection, use, disclosure, safeguarding, storage, retention, and destruction of personal information are governed by the Northline Privacy Policy at www.northlineemergency.com/privacy-policy.
The Privacy Policy forms part of Northline's Website and service framework. These Terms do not override the Privacy Policy. Where another organization independently collects or controls personal information, that organization's privacy policy and legal obligations may also apply.
33. Electronic Communications
By submitting an inquiry, registration, or order, you agree to receive communications reasonably required to administer it, including responses to inquiries, quotes, registration confirmations, payment notices, course instructions, preparation requirements, schedule changes, safety information, certification coordination, service notices, and contract administration.
Marketing communications remain separate and optional. Acceptance of these Terms is not consent to receive unrelated promotional messages. Electronic records and electronic signatures may be used where legally valid.
34. Website Disclaimer
Website content is provided for general information. It is not a substitute for legislation, medical direction, clinical protocols, department policies, manufacturer instructions, professional legal advice, regulatory guidance, certification requirements, or a written Northline agreement.
Northline may update Website content. This section does not disclaim Northline's obligation to deliver a contracted service with reasonable care and skill.
35. Warranties
Northline will provide contracted services with reasonable care and skill.
Except for express commitments in a written agreement, statutory warranties, and rights that cannot legally be waived, Northline does not make additional guarantees regarding continuous Website availability, compatibility with every device, third-party platform availability, third-party certification decisions, or a specific professional or operational result.
The Website may occasionally be unavailable or contain an error. Northline will take reasonable steps to correct material issues brought to its attention.
36. Limitation of Liability
This section applies only to the extent permitted by law. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, liability that cannot legally be excluded, a non-waivable consumer right, or personal injury where exclusion would be unlawful.
Subject to those exceptions, Northline is not liable for indirect, consequential, special, or purely economic losses that were not reasonably foreseeable when the agreement was formed, including loss of profit, business opportunity, or anticipated savings.
For a claim arising from a paid Northline service, Northline's total aggregate liability will not exceed the amount paid to Northline for the specific service giving rise to the claim during the 12 months preceding the event, unless a signed agreement establishes a different lawful amount or applicable law requires otherwise.
For Website use unrelated to a paid service, liability is limited to the minimum amount required by applicable law. The limitations apply regardless of the legal theory advanced, but only where enforceable.
37. Indemnification
To the extent permitted by law, you agree to indemnify Northline for reasonable losses, costs, and expenses directly resulting from your intentional unlawful conduct, fraud, your infringement of another person's rights, unauthorized redistribution of Northline materials, false representation that you had authority to register another person or bind an organization, or deliberate interference with Northline systems or services.
You are not required to indemnify Northline for Northline's negligence, Northline's contractual breach, Northline's unlawful conduct, or an amount that cannot legally be transferred to you.
38. Force Majeure
Neither party is liable for delay or failure caused by circumstances beyond its reasonable control, except for payment obligations already properly incurred. These circumstances may include natural disaster, wildfire, flooding, severe weather, road closure, public-health emergency, government action, labour disruption, utility outage, major technology failure, facility closure, travel disruption, instructor emergency, or serious illness.
The affected party must take reasonable steps to reduce the disruption and resume performance when reasonably possible. Force majeure does not remove statutory cancellation or refund rights. Where a service cannot proceed, Northline will work in good faith to provide an appropriate rescheduling, credit, alternative, or refund consistent with the contract and applicable law.
39. Complaints and Dispute Resolution
Northline encourages concerns to be raised promptly. The process is: contact Northline and describe the concern; provide relevant registration, course, transaction, and communication details; allow Northline a reasonable opportunity to investigate and respond; if unresolved, request written escalation to Northline's director; the parties may agree in writing to voluntary mediation.
Nothing in these Terms requires mandatory arbitration, prevents either party from using a court of competent jurisdiction, prevents a consumer from contacting Service Alberta, prevents a person from contacting a privacy regulator, prevents a complaint to a certification body, regulator, employer, or lawful authority, or restricts a remedy that cannot legally be waived.
40. Governing Law
These Terms are governed by the laws of Alberta and the applicable federal laws of Canada. Subject to mandatory consumer and jurisdictional rights, a dispute may be brought before a court of competent jurisdiction in Alberta. These Terms do not prevent a consumer from bringing a claim in another jurisdiction where non-waivable law permits or requires it.
41. Suspension or Termination
Northline may reasonably suspend Website access, registration, participation, or services due to safety concerns, non-payment, fraud, serious misconduct, threats, harassment, illegal activity, material contractual breach, unauthorized distribution of protected materials, interference with course delivery or an assessment, or misrepresentation of qualifications or identity.
Northline will act reasonably and in accordance with applicable law and contractual obligations. Payment, refund, and transfer consequences will depend on the reason for the action, work already completed, costs incurred, the applicable agreement, these Terms, and statutory rights.
42. Changes to These Terms
Northline may update these Terms prospectively to reflect changes in services, business operations, Website functions, technology, legal requirements, commercial policies, or course-provider requirements.
The current version will display its effective date, last-updated date, and version number. A change will not retroactively remove an accrued legal right, a confirmed refund entitlement, or a binding contractual commitment without lawful agreement. Northline may request express acceptance of materially revised Terms for a future purchase or service.
43. Severability
If any provision is found invalid or unenforceable, it will be applied to the maximum extent legally permitted. The remaining provisions continue in effect.
44. No Waiver
A delay or failure to enforce a right does not waive that right. A waiver must be express and in writing. Waiver of one breach does not waive another breach, a continuing breach, or a later breach of the same provision.
45. Assignment
You may not transfer a registration, contract, right, or obligation without Northline's prior written approval, subject to the substitution and transfer provisions in these Terms.
Northline may assign or transfer its rights and obligations in connection with a lawful business restructuring, financing, sale, merger, or transfer of operations. Any assignment remains subject to applicable law, existing contractual protections, privacy requirements, and previously accrued customer rights.
46. Entire Agreement
These Terms, together with the documents identified in Section 3, constitute the entire agreement relating to the applicable transaction or service. They replace prior discussions or representations concerning the same subject matter, except a representation expressly included in the applicable agreement, fraudulent misrepresentation, or a right or remedy that cannot legally be excluded.
